Introduction

The Board of Directors of Saudi Basic Industries Corporation (SABIC) is pleased to invite the Company’s shareholders to attend the Ordinary General Meeting (First Meeting) via modern technology provided by Tadawulaty.

Methodology of Convening the General Assembly’s Meeting 

Via modern technology means

Attendance Eligibility, Registration Eligibility, and Voting End 

The eligibility to attend the Meeting, will be for shareholders registered in the Company share registry at the Depository Center as of the end of trading prior to the Meeting Day, and as per the rules and regulations, Shareholders have the right to discuss matters listed in the agenda of the General Assembly and raise relevant questions. Also, eligibility for Registering the Attendance of the General Assembly’s Meeting Ends upon the Convenience of the General Assembly’s Meeting. Eligibility for Voting on the Meeting Agenda Ends upon the Counting Committee Concludes Counting the Votes.

The Quorum required for the Assembly

The Ordinary General Assembly shall not be valid unless attended by shareholders representing at least fifty percent (50%) of the voting shares. If such quorum requirement is not met at the first meeting, a second meeting will be held within one hour of the scheduled time for the first meeting. The second meeting shall be valid regardless of the number of shares represented thereat.

Shareholders have the right to discuss matters listed in the agenda of the General Assembly and raise relevant questions, Shareholders can remotely vote on the General Assembly Meeting’s agenda via (E-voting service), through Tadawulaty www.tadawulaty.com.sa

Details of the electronic voting on the Assembly’s agenda

The shareholders may remotely vote on the General Assembly Meeting’s agenda via (E-voting service) through Tadawulaty website www.tadawulaty.com.sa. Which is provided free of charge. The remote voting will start on Sunday 08/10/1446 H Corresponding to 06/04/2025 G at (01:00) AM, and the voting will end upon the concluding counting committee sorting the Votes.
